Mr. Xiaomin Chen is the Managing Partner of DeHeng Chen, LLC in New York. He has nearly 30 years of practise experience in finance and banking, securities, corporate, mergers & acquisitions, capital markets and real estate law. He was selected to New York Metro "Super Lawyers" list in Business/Corporate Law area by Thomson Reuters since 2012 and serves as the Counsel to China General Chamber of Commerce – U.S.A..
Representative Matters
- Advised U.S. subsidiaries of multiple Chinese banks on general corporate matters
- Conducted legal due diligence and provided legal opinions on U.S. subsidiaries of Chinese companies in connection with public offerings in China
- Represented China National Tobacco Corporation in litigation in 21 U.S. states
- Represented Beijing E-Town International Investment & Development Co., Ltd. in its acquisition of Nexteer
- Advised Shanghai Hongxiao Science and Technology Co., Ltd., a subsidiary of a Chinese public company, in a $300 million equity acquisition of miVIP Healthcare Holdings, LLC, a U.S. healthcare management company
- Acted for China Railway International USA Co., Ltd. in its proposed $49 million investment in XpressWest project
- Advised Yangquan Coal Industry (Group) Co., Ltd. in a $36 million technology transfer transaction with Gas Technology Institute
- Represented Tong Ren Tang, the largest producer of traditional Chinese medicine, in a healthcare investment in the U.S.
- Advised Wailian Overseas Consulting Group in several equity investments in the U.S.
- Represented a New York investment entity in a private placement of a Delaware based stock exchange.
- Advises China General Chamber of Commerce – U.S.A., the most influential nonprofit organization representing Chinese enterprises in the U.S., on general corporate matters
- Advises China Construction America on general corporate matters.
- Currently serves as legal counsel to several nonprofit organizations.
