DeHeng Advised Bangbao Educational Toys to
Complete Major Asset Restructuring Transaction

With the assistance of DeHeng Law Offices, in September 2018, Guangdong Bangbao Educational Toys Co., Ltd. ("Bangbao Educational," stock code: 603398), completed its acquisition of 100% equity in Guangdong Mechelen Interactive Technology Co. Ltd. ("MECHELEN") in exchange for 440 million yuan in cash.  

Bangbao Educational, a well-known toy manufacturing enterprise in China, is primarily engaged in the research, development, production, and sale of educational toys of its proprietary brand. MECHELEN, the target company of this transaction, is a national toy operator with mature domestic sales channels including direct sales channels such as large supermarkets, department stores, toy chain stores, maternity and children's product chain stores, and community stores. The success of this major asset-restructuring transaction will widen the domestic sales channels of Bangbao Educational, and will boost its core competitiveness.

As the legal counsel to Bangbao Educational, DeHeng set up a project team led by Wang Xian'an, the executive director of the Shanghai office, and including lawyers Wang Jianfeng, Wei Feng, and Bian Zheya, who provided a full range of legal services to Bangbao Educational.
